Legal Director IT Services and Technology
Business RoleAct as a key member of the negotiation team for Airline IT and other IT Services and Technology Contracts, being responsible for all legal aspects (negotiation, drafting, advising, issue coordinating) of the transaction. Handle Post Contract management of signed IT contracts. Play a leading role in the analysis of risk areas and design and implement proposals for the proper assessment and management.Responsibilities1. NEW AIRLINE IT CONTRACT NEGOTIATION AND MANAGEMENT- Drafting of the LOI (for the Initial Scoping Study)- Preparation of the standard contract for submission to the Airline.- Participate in overall negotiation processes (inc. timescales and strategy), formulation and coordination of positions across different departments and sites within Amadeus, such as: - Negotiation of penalty issues with Erding (for service credits), Nice (delay/milestone penalties) and Madrid (overall agreement). -Resource consumption, escrow, data storage, etc.- Upward reporting and escalation of issues to Amadeus Senior Management.2. POST CONTRACT MANAGEMENT IMPLEMENTATIONTo produce a Post Contract Checklist distributed to all relevant departments, covering a wide range of contractual obligations:- Implementation of Milestones, Delay Penalties (if any), Scope/Gap analysis, project management/governance issues with Nice- Service Credit issues- Resource consumption issues, such as agreeing certification procedures for base-lining resource consumption- Development/Service Delivery issues, such as development resource forecast commitments, Acceptance Test criteria and procedures- Product/services issues, such as ensuring correct charge for System User products/services, new billing procedures- Financial/marketing issues, such as MSAs, performance bonds and new payment structures3. CONTRACT FOLLOW UP- Once the implementation of the Post Contract Checklist is underway, ensure that all Contract Changes are recorded in correct legal format, as Contract change Orders, advise on issues of interpretation and resolve issues of dispute.- Handle renewal/renegotiation of airline IT Contracts (which typically occurs when the contract is past 50% of its duration).4. Overall responsible for all other IT-related contractual work in the Group related to air and non-air suppliers (e.g. licensing, hosting IT services)5. To be involved and assume responsibility (in liaison with other senior attorneys in the Department, under the overall coordination of the General Counsel) on general contract matters of Amadeus´ dealings with airlines on general distribution issues (GDS) and e-commerce applications, as well as on potential joint venture opportunities in the Airline IT field.6. Identification, assessment and management of risk-related areas in the above fields.Requirements:EducationUniversity degree in Law. Post-graduate courses in Law and/or MBA is a plusWork ExperienceMinimum of 12-15 years experience in a multinational consulting/legal firm or in the legal department of an international company.
